We are currently looking for a Commercial Counsel to work in our Global Legal Department. This is an individual contributor position and is based in our global headquarters in The Woodlands, TX.

Job Scope
This is a broad and varied position with high level of autonomy and responsibility to provide sound legal advice within our global manufacturing company. As a Commercial Counsel you will provide legal support and advice across all business divisions as well as shared service functions, including sales, procurement, quality, marketing, IT, finance, etc. The position will involve interactions with all levels of management and will require a thorough understanding of the company's values, strategy, risk management and commercial philosophies.

As the Commercial Counsel you will:
  • Draft and negotiate a broad variety of commercial contracts (e.g. sales, distribution, agency, consignment, consultancy, purchasing, quality).
  • Advise clients on a broad range of legal matters, including transactions, regulatory work, claim triage and litigation.
  • Manage and collaborate with outside counsel as required.
  • Liaise with other shared service functions including Procurement, Tax, Treasury, Credit, EHS, IT and HR to ensure alignment with all relevant stakeholders.
  • Provide training on legal topics, processes, and on the use of the CLM and other electronic tools used by the Legal Department.
  • Monitor and advise clients on current and new legislation and other regulatory matters and developments affecting business operations.
  • Conduct all other legal work as assigned.
  • Travel may be required from time to time.

Required Qualifications:
You must possess the below minimum qualifications to be initially considered for this position. Preferred qualifications are in addition to the minimum requirements and are considered a plus factor in identifying top candidates.

The candidate must have an unrestricted right to work for A Chemical Manufacturing Company in the United States.
  • Licensed to practice law in at least one US jurisdiction, ideally Texas, and in good standing.
  • Have at least 6 years of relevant commercial practice experience in a top tier law firm or as in-house counsel in a large law department.
  • Experience in general commercial law matters and with UCC-governed contracts is required.

Preferred Qualifications:
  • Experience working in a global and matrix organization a plus.
  • Experience advising clients in the LATAM region is a strong plus.
  • Experience in the manufacturing sector or chemical industry is a plus.

Skills and Specifications:
  • Strong influencing capability, high energy, be proactive and develop strong relationships with internal clients.
  • Proficiency in English. Other languages a plus, particularly Spanish.
  • Ability to work independently with little supervision.
  • Ability to handle a large workload and prioritize well.
  • Effective communicator and team player.
